By using logistics.globy.com and the Globy Logistics services (the "Globy Logistics Services"), you agree to these Terms. Your agreement is established when you tick "I Agree" during registration. If you do not agree, discontinue use immediately.

"Website" and "platform" mean logistics.globy.com. "We", "us", and "our" mean Globy. "You", "your," and "user" mean users of Globy Logistics (Logistics Providers or Trading Companies). If you use the Services for an organization, you represent that you can bind that organization to these Terms.

1. Eligibility

You represent and warrant that (i) you are at least 13 years of age, (ii) your use complies with applicable law, (iii) you have not been barred from the Globy Services, and (iv) you have authority to enter these Terms. We may refuse service or change eligibility criteria at any time.

2. Service Description & Our Role

Globy Logistics is a network platform where professional logistics businesses connect, collaborate, partner, and exchange tenders/quotes with each other. It also provides access to shipper leads originating from the main Globy platform (globy.com).

We only connect parties. We are not a carrier, NVOCC, freight forwarder of record, customs broker, insurer, or contracting party to transportation. We do not issue bills of lading or arrange carriage. All negotiations and transactions occur off-platform between users.

3. User Roles

• Logistics Providers: companies offering sea, road/truck, rail, air, warehousing and related services.
• Trading Companies (Shippers): wholesale/trading companies seeking logistics services.

4. Tenders (Requests for Shipping)

Trading Companies may post tenders specifying requirements, destinations, and validity periods. Logistics Providers must ensure any responses (offers/rates/capacity) are accurate and lawful. Tenders and responses may contain confidential commercial information; you must treat them as confidential and not disclose them outside the platform without consent. Globy facilitates but does not participate in negotiations or guarantee outcomes.

5. Shipper Leads

Globy may provide Logistics Providers with shipper leads from globy.com, which may include: company name, contact person's name, email, phone/contact, destination, and cargo type.

• Contact the lead solely to respond to the expressed shipping need.
• Comply with anti-spam, privacy, and marketing laws.
• Do not resell, transfer, scrape, harvest, or build competing databases from lead information.
• Honor opt-outs and cease use upon our request.

6. User Content

You may provide content (profiles, tenders, offers, rates, documents, messages, reviews, and similar "User Content"). You retain your rights. You grant Globy a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display User Content to operate, secure, and improve the platform and to make it available to other users consistent with these Terms. You warrant you have rights to your content; it does not infringe others' rights; and it is not unlawful, defamatory, obscene, hateful, harassing, or otherwise inappropriate. We may filter, edit, remove, or block content at our discretion.

7. Reviews Between Logistics Providers

Peer reviews must be based on genuine experiences, be fair and professional, and avoid defamatory or misleading statements. We may moderate or remove reviews that violate these Terms.

8. Accounts & Security

Keep your password confidential and your account secure. You're responsible for all activity under your account and must notify us of unauthorized use. You may not assign or license your account without our written consent. Social login (e.g., Google/LinkedIn) authorizes us to obtain authentication data allowed by that service. We may suspend or terminate accounts that violate these Terms.

9. Verification (KYC)

Logistics Providers may be required to complete KYC/business verification (e.g., via Vespia or similar on our behalf). Verification is not an endorsement or guarantee. We may revoke verification for fraud, policy breaches, or inaccurate information.

10. Plans, Subscriptions, Fees & Billing

• Free Tier.We offer a free plan with limited access to features/services.
• Paid Plans.Certain features (e.g., expanded visibility or access to leads/tenders) require a paid subscription.
• Auto-Renewal.Annual subscriptions auto-renew for successive 12-month terms at then-current rates until canceled in your account settings or via [email protected] before the renewal date.
• Billing & Processor.Fees are charged in advance via Stripe. You authorize us/Stripe to charge your chosen payment method and warrant you have authority to use it.
• Upgrades/Downgrades.Upgrades may take effect immediately; downgrades generally start on the next term. Feature access may change accordingly.
• Price Changes.We may change prices or introduce new charges; changes apply to the next term and we'll provide notice where required.
• Taxes & Refunds.Fees are exclusive of taxes; you're responsible for applicable taxes. Except as required by law, fees are non-refundable and partial terms aren't prorated.

11. Transactions Between Users

All negotiations, agreements, and payments between users occur off the website. Globy does not collect/process payments between users, does not guarantee performance, and is not liable for disputes, non-payment, fraud, cargo issues, or logistics outcomes. Exercise due diligence.

12. Messaging & Acceptable Use

Use messaging only for platform-relevant, professional communications. You may not send abusive, unlawful, pornographic, or spam messages; impersonate others; conduct surveys/contests; collect personal data without legal basis; scrape or harvest leads; or imply Globy endorsement without written permission. Violations may lead to suspension.

13. Prohibited Activities

You may not scrape or harvest data, deep-link without permission, overload infrastructure, reverse engineer, bypass security, or download content unless expressly permitted. You may not copy or repurpose shipper leads or tenders outside permitted use.

14. Intellectual Property

All platform content (names, logos, text, graphics, software, etc.) is owned by Globy or its licensors and protected by law. Materials are provided for limited, internal business use with the platform. No reproduction, modification, or distribution is allowed without prior written consent.

15. Copyright (DMCA)

For alleged infringement, email [email protected] with a compliant DMCA notice. We respond consistent with applicable law.

16. Disclaimer of Warranties

The Globy Logistics Services are provided "as-is" and "as-available." We disclaim all warranties (merchantability, fitness, title, non-infringement). We do not warrant uninterrupted or error-free operation, accuracy or completeness of information, performance by other users, or results from use.

17. Limitation of Liability

To the maximum extent permitted by law, Globy and its affiliates, officers, employees, and agents are not liable for indirect, incidental, special, consequential, or exemplary damages (including lost profits, revenue, goodwill, or data). Our total liability relating to the Globy Logistics Services is limited to the amount you paid to Globy for the specific service in the 12 months before the claim or US $100 (whichever is greater).

18. Indemnification

You agree to indemnify and hold harmless Globy and its affiliates from claims, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the platform, your content, your breach of these Terms, unlawful actions, or disputes with other users.

19. Electronic Communications

You consent to receive electronic communications related to your account and the platform. Keep your contact details current.

20. Disputes with Other Users

Disputes between users must be resolved by the parties. You release Globy from claims arising from such disputes.

21. Disputes with Globy

Disputes should preferably be resolved by binding arbitration between you and Globy, subject to either party's right to bring individual claims in a court of competent jurisdiction. Class actions are waived to the extent permitted by law. If any claim proceeds in court, both parties waive jury trial. Either party may seek injunctive relief for IP misuse.

22. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Washington, USA, with exclusive jurisdiction in its state or federal courts, unless arbitration applies.

23. Changes to Services & Terms

We may modify, suspend, or discontinue features at any time and update these Terms. Changes are effective when posted. Continued use after changes constitutes acceptance.

24. Third-Party Links & Services

Third-party sites/services are provided for convenience and governed by their own terms. We do not control or endorse them and disclaim liability for your use.

25. Final Provisions

If a provision is unenforceable, the remainder remains in force. Our failure to enforce is not a waiver. No partnership, joint venture, agency, or employment relationship is created. These Terms plus our Privacy and Cookie Policies are the entire agreement. We are not liable for failures beyond our reasonable control.
